1. Acceptance of Terms
By accessing or using SHIPIT (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the updated Terms.
2. Definitions
- “Service” refers to the SHIPIT AI-powered MVP generation platform, including all related tools, APIs, and features.
- “User” or “You” refers to any individual or entity that accesses or uses the Service.
- “Credits” refers to the virtual payment units purchased to use the Service.
- “Generated Output” refers to all source code, configuration files, documentation, and other artifacts produced by the Service’s AI pipeline.
- “Build” refers to the process of generating and deploying code through the AI agent pipeline.
- “Agent” refers to the AI modules (Architect, Developer, Reviewer, QA, Documenter) that perform specific roles during a Build.
3. Description of Service
SHIPIT provides an AI-powered platform that transforms structured user input into full-stack application code via a multi-agent pipeline. The Service includes:
- AI-powered application code generation from an 11-step structured form
- Automatic deployment to Vercel with a live URL
- Code structure visualization (CodeMap)
- AI-powered automatic error repair
- Direct code editing and redeployment
4. Account Registration
To use the Service, you must create an account using Magic Link email authentication or OAuth (Google, GitHub). You agree to provide accurate information and are responsible for maintaining the security of your account credentials. You must be at least 14 years old to use the Service.
5. Credits and Payment
- Credits are purchased through the Whop payment platform. All prices are displayed at the time of purchase.
- Credit consumption rates are as follows: New Build (3 credits), Rebuild / Auto-repair (2 credits), Direct Edit (1 credit).
- Purchased credits expire 1 year from the date of purchase.
- Refunds are available for unused credits within 7 days of purchase, subject to applicable consumer protection laws.
- Credits are non-transferable between accounts.
6. Ownership of Generated Output
- You retain ownership of all Generated Output created through your use of the Service.
- Generated Output is produced by AI and may include open-source libraries or frameworks. You are responsible for complying with all applicable open-source license terms.
- We do not guarantee the originality, accuracy, security, or legal compliance of any Generated Output.
- We may use anonymized, aggregated data about Generated Output for the purpose of improving the Service.
7. Acceptable Use
You agree not to use the Service to:
- Generate code for illegal purposes or activities
- Create malware, phishing tools, spam, or other harmful software
- Infringe upon the intellectual property, privacy, or other rights of third parties
- Interfere with or disrupt the Service (excessive API calls, automated scraping, etc.)
- Provide the same or substantially similar services to third parties using the Service
- Violate any applicable laws or regulations
8. Intellectual Property
All intellectual property rights in the Service, including its software, design, logos, branding, AI models, and pipeline architecture, are owned by SHIPIT. You may not reverse-engineer, decompile, or create derivative works of the Service without prior written consent.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO SHIPIT IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless SHIPIT and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) your use of the Service; (b) your Generated Output; (c) your violation of these Terms; or (d) your violation of any third-party rights.
12. Modification of Terms
We may modify these Terms at any time. We will notify you of material changes at least 7 days before they take effect by posting a notice on the Service or sending an email to your registered address. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
13. Termination
- You may terminate your account at any time through the Service settings or by contacting us.
- We may suspend or terminate your account if you violate these Terms, with notice when reasonably possible.
- Upon termination, your right to use the Service ceases immediately. Unused credits are subject to the refund policy in Section 5.
- Sections 6, 9, 10, 11, and 15 survive termination.
14. CCPA Notice
If you are a California resident, you have specific rights under the California Consumer Privacy Act (CCPA). Please refer to our Privacy Policy for detailed information about how we collect, use, and share your personal information and how to exercise your rights.
15. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea.
- Any disputes arising out of or related to these Terms shall be resolved through good-faith negotiation between the parties.
- If negotiation fails, either party may submit the dispute to the competent court under the Civil Procedure Act of the Republic of Korea.
16. Miscellaneous
- If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
- Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- These Terms constitute the entire agreement between you and SHIPIT regarding the Service.
